Significant Representations and Experience
Finance Advice
Advised the U.S. International Development Finance Corporation (DFC) in connection with its $30 million loan to the IIX Women’s Catalyst Fund (a PI2 project), a subordinated debt vehicle providing first loss capital for bond offerings (the “Women’s Livelihood Bonds”) that ultimately fund underlying loans to improve women’s livelihoods in South and Southeast Asia and other emerging economies.
Advised DFC in a $200 million on-lending project to private companies in Mexico and Colombia helping credit invisible borrowers secure services such as healthcare, education, and housing.
Advised DFC in a $130 million financing for the development, construction, and operation of a 300-megawatt solar photovoltaic power plant in Rajasthan, India.
Advised DFC in connection with its $20 million secured loan to Cosami R.L., a credit union in Guatemala, for the provision of mortgage loans to lower-income borrowers to finance home purchases and/or new home construction and improvements.
Advised DFC in connection with its $20 million secured loan to Lhoopa Singapore PTE LTD, a property-technology company that develops and sells affordable housing in the Philippines.
Advised IDB Invest in a $30 million digital on-lending platform focused on secured loans in Brazil.
Advised the British International Investment Private Limited Company (BII) in connection with its ongoing debt financings in Guinea-Bissau, India, and Egypt.
Project Development Advice
Advised Meridiam Infrastructure North America Inc. on fiber-to-the-home projects in Indiana, Alabama, and Tennessee, including drafting development agreements with governmental counterparts, drafting engineering, procurement, and construction agreements, offtake (ISP) agreements, and supply and services agreements with private counterparty contractors, for a total investment value of over $1B.

Advised Lithium Werks on its stock sale to Reliance Industries.
Advised a France-based investor with respect to its prospective acquisition of a biopharmaceutical manufacturing company based in Europe with subsidiaries in the United States.
Advised a France-based investor with respect to its prospective acquisition of a biopharmaceutical consulting firm based in Southeast Asia with subsidiaries in the United States.
Advised a Hong Kong-based investor with respect to its prospective acquisition of a textile manufacturer conglomerate based in East Asia with subsidiaries in the United States, Mexico, and Honduras.
Advised a Florida-based real estate company on the corporate structuring and governance of a joint venture for its acquisition, ownership, and operation of an assisted-living real estate portfolio in Minnesota and Wisconsin.
Advised a UK-based air chartering company on revisions to the charter documents of its subsidiaries in 5 U.S. states, streamlining corporate governance.
