Legal advice to investment fund managers. Limited Partnership Agreement negotiation. Exits and liquidations of investment projects in Colombia, Mexico, Brazil, and other countries. Fund and corporate governance, limited partner and investment committee meetings, directors’ and shareholders’ meetings, compliance, nondisclosure agreements, stock sale-purchase agreements, contracting local counsel, resolving complex shareholder structure issues in equity divestments.Impact investing projects, investments in venture capital investment funds, loans, revenue-based loans, pay-for-results, and reimbursable grants, international trust funds for climate projects, and incorporating social and integrity policies into projects. Participated in the design of investment vehicles and their internal governance. Multi-lender loan restructurings.
Managed the team providing legal support to high-impact financing window—IDB Lab—supporting financing for equity investments, venture capital investment funds, microfinance, financial institutions, and technical assistance. Managed internal corporate and policy issues, funding access through multilateral funds to be used by IDB (GreenClimate Fund, Global Environmental Fund, Climate Investment Funds). Service delivery agreements across IDB Group institutions and participated in developing internal policy approaches to local currency guarantees, sanctions, and access to information. Member of credit and closing committees.
Negotiated/closed investments in venture capital funds and equity investments (without outside counsel). Designed microfinance growth fund sponsored by IDB Lab, IDB Invest, CAF, and DFC. Includes IDB Lab investments as limited partner in venture funds organized in Chile, Brazil, Colombia, and Argentina; and in Delaware, Ontario, Caymans, and the UK.

Advised IDB Lab on an investment as limited partner in: a regional Latin American venture fund, in a regional Latin American Technology fund, and in a regional Latin American fund focused on ecological-based enterprises.
Advised IDB Lab on an investment as a limited partner in aregional Latin American local currency conversion/hedgefund.
Advised IDB Lab on an investment as a limited partner in a regional Latin American accelerator fund organized in Uruguay.

Project Finance/Corporate Finance
Project Finance/CorporateFinanceLead attorney in loans to private sector projects, including infrastructure investment funds, energy, toll roads, water/wastewater, gas transportation, telecommunications, ports, financial institutions, and trade finance, and in equity investments. Developed IDB’s first project bond/local currency guarantee structure-used in multiple toll road projects. Advised IDB on multi-lender loan workouts managed jointly with other multilateral development banks and including preferred creditor status issues. Advised IDB on potential execution on apolitical risk guarantee by project lenders to an infrastructure project in Colombia.
International project finance attorney supported energy and wastewater projects in Panama, Brazil, Colombia, and Mexico. Negotiated finance and project documentation, corporate bylaws, shareholders agreements, loans, sponsor guarantees, trust agreements, performance bonds, and support to power purchase, construction, and operating agreements. Hired and directed local counsel. Supported sponsor bidding proposals for concessions in Argentina, Mexico, Colombia, Panama, Peru, and Costa Rica.

Advised IDB on its syndicated loan to Termobahia S.A. combinedcycle co-generation facility (Project FinanceMagazine “Latin American Power Deal of the Year” 2001).
Advised IDB on its guarantee of local currency bonds issued by the Santiago-Valparaiso toll road (Rutas del Pacifico S.A.) and the Costanera Norte urban tollroad in Santiago (both Project Finance Magazine “Dealsof the Year”).
Advised IDB on its loan to the Campos Novos hydroelectric project in Brazil (Project Finance Magazine “Deal of theYear”).
Advised IDB on its loan to the Energia Norte electricity generation project in Brazil.
Advised IDB on its loan to the Transredes natural gas pipeline in Bolivia, including following the nationalization of the borrower.
Advised IDB on its loan to the Ecovias toll road project in Brazil.
